The European Union Chamber of Commerce in China is delighted to invite you to a seminar on potential risks and liability of legal representatives.
In principle, a Wholly Foreign Owned Enterprise (WFOE) or a Joint-Venture company (JVC) are separate legal entities with limited liability. Basically this means that legal liability should not extend to the shareholders and the executive managers during normal operations of the company. However, and in accordance with the Law, executive managers such as legal representative, director, supervisor and senior managers of a company can face personal liability in several circumstances.
In this seminar, our speakers will emphasize the different types of legal liability that the executives of a company in China may encounter, including their own civil, administrative, tax and criminal liabilities.
Additionally, they will focus on the potential risks and liability faced by management when their companies’ operations are not in full compliance with the tax regulation. What are the key points to consider to devise a proper tax risk management strategy? Given this opportunity, participants will also have a brief overview of the tax changes that have been introduced recently (update on the VAT reform notably).

Ms. Anne Severin
Born in 1971, member of the Paris Bar, Anne Severin has opened DS Avocats Shanghai office in 1997 which she is still managing today.
Since then, Anne Severin regularly assists clients in their establishment projects in China, and in solving their general corporate law issues that they might encounter. She also advises European companies to optimize their legal structures and to benefit from any update of regulatory framework in China. She has been particularly involved in the legal support of newly opened industries in China, such as IT, health or education.
DS Avocats Shanghai office was the first French law firm to be invited has member of the Shanghai Bar Association.
Mr. Peter Law
Peter Law is a Fellow of Association of Chartered Certified Accountants. He has a BA (Hons) in Accountancy, City University of Hong Kong. His professional knowledge covers all aspects of PRC taxes.
He is responsible for provision of PRC and Hong Kong tax and business consulting services to both corporate and individual clients.
His areas of expertise include advising foreign investors on optimal investment holding structures and proposed foreign investment enterprises in China.
He is actively involved in structuring PRC and overseas cross border transactions such as performing PRC transfer pricing review between related parties, due diligence for mergers and acquisitions, and group restructuring exercises.
