As an important piece of the new Enterprise Income Tax ("EIT") regime of China, the Ministry of Finance ("MOF") and the State Administration of Taxation ("SAT") jointly issued the New Income Tax Treatment of Enterprise Reorganization Rules ("the M&A Tax Rule") in May of 2009, which provide investors with a tax framework to structure acquisitions and divestment or undergo internal reorganization under the new EIT regime. The M&A Tax Rule provides many tax deferral opportunities for structuring domestic and cross-border M&A transactions, but there are a number of areas where uncertainties exist at the time of issuance.
Most recently in August 2010, 15 months after the issuance of the M&A tax rule, the State Administration of Taxation has finally issued the Implementation Rules in relation of the M&A Tax Rule which provide clarification in a number of areas. The Implementation Rules also provide guidance on filing and documentation requirements.
With the Rule and its implementation guidance, taxpayer has could make careful planning so as to achieve tax efficiency in an M&A transaction. Undoubtedly, this can help improve shareholder value, performance and market competitiveness both in China and globally.
Mr. Nick Cham, M&A tax partner and Ms. Elaine Zhang, M&A tax manager with Deloitte Beijing will take us on a tour through the new regulations for both cross-border and domestic entities undergoing reorganization, highlighting the areas which have finally received clarity and detailed compliance requirements.

Nick Cham, Partner, Deloitte
Nick is a tax partner with Deloitte’s Beijing tax practice. He has over 15 years experience in advising clients on corporate tax issues. His focus is providing M&A and International Tax advisory services for a wide range of clientele including North American, European and Chinese multinational corporations. His clientele includes a number of high-profile strategic and private equity investors. Prior to practicing taxation in China, Nick worked in the U.S. and Canada, specializes in international corporate taxation. Nick has advised clients on cross-border M&A, restructuring, repatriation, financing strategies, transfer pricing and other international tax issues.
Nick is a U.S. Certified Public Accountant and a Commonwealth Scholar. He holds a Master of Law (European & International Tax) from the Katholieke Universiteit Leuven and a Master of U.S. Taxation from the University of Denver College of Law. He also holds a B.B.A. in Accounting (summa cum laude) from the University of Massachusetts. He is currently a Ph.D candidate focusing on the tax aspects of mergers and acquisitions.
He has published articles in several major international tax journals such as the Tax Planning International Review and the Tax Notes International on Chinese M&A matters. Nick is also a frequent speaker in conferences and seminars on Chinese taxation topics.
Elaine Zhang, Manager, Deloitte
Elaine is a tax manager of Deloitte Beijing office and has been working for Deloitte since 2000. She is particularly specialized in ITSL M&A and served both inbound and outbound transactions in the area of international taxes, investment structuring, financing strategies, business model, etc. Elaine has served in M&A group of Deloitte New York office providing tax due diligence, tax structuring and international tax consulting services for reorganizations and cross-border acquisitions.
Elaine has rich experience in various industries, including manufacturing, oil and gas, real estate properties, and financial institutes, etc. Her clients include both strategic investors and VC and PE funds, such as KKR, Blackstone, MBK, AIG, Orchid, Credit Suisse, CITIC fund, CIC, Lafarge, Citibank, Capitaland, China Resources, CNPC, Sinochem, etc.
Elaine obtained Master degree in Accounting and Financial Management from Lancaster University of UK and got Bachelor degree of Accounting from Tsinghua University in 2000. And Elaine is a member of Certified General Accountant of Canada.
