China’s domestic and in-bound merger and acquisition (M&A) activity reached peak levels before the financial crisis, but has recovered strongly since 2010. The value of China's inbound M&A reached $7.4 billion via 99 deals year-to-date in 2013, surpassing the country's outbound M&A value for the first time since the same period in 2010.

Ms. Anabella Fu
Annabella specialises in PRC financial markets and financial services. She assists in transactions involving the financial sector, including the acquisition of interests in PRC domestic financial institutions, PRC local incorporation projects, and the establishment of operations and the obtaining of financial services licences in the PRC.
Notable transactions include JPMorgan’s securities joint venture with First Capital and Bank of Montreal’s investment into COFCO Trust Co., Ltd. She also advises PICC Property and Casualty Company Limited on its compliance and general matters as a Hong Kong listed company. Annabella also advises on regulatory issues arising in the PRC encountered by financial institutions both domestic and foreign.
Annabella speaks English, Cantonese and Mandarin.

Mr. Paul Ma
Paul is a tax partner based in Beijing with KPMG China. Paul has extensive experience working with investment fund clients in all phases of the fund lifecycle, including fund formation, M&A investments and post-deal integration. He is a respected tax advisor in structuring various types of M&A transactions including foreign direct investments, domestic transactions, restructuring and take-private transactions.
Paul advises on tax and regulatory issues in M&A transactions in the PRC across a wide range of industries by providing tax due diligence and investment structuring advice. He is recognized as an experience tax advisor in complex M&A transactions including cross-border and domestic acquisitions and divestments, corporate restructuring, take-private transactions, PIPE deals, etc.
Paul has extensive experience in onshore and offshore fund structuring and formation including carried interest structuring.
Paul previously worked in Morgan Stanley in New York and Hong Kong as an in-house tax counsel for the private equity and real estate funds. He also worked in Ernst & Young New York as a U.S. tax specialist.

Mr. Ken Su
Ken began his career with PricewaterhouseCoopers in the Assurance and Business Advisory Services department in 1995 and joined Transaction Services in 1998. Ken has been based in Beijing since 2004 but has also worked at PwC offices in Vancouver and Shanghai where he worked on a large number of international cross-border transactions.
Ken has assisted clients with many transactions, focusing on guiding clients through the transaction process, performing financial and operational due diligence reviews, project management, assistance with structuring and transitional issues, financial modeling, purchase price adjustment advice and post-deal integration.
Ken has advised clients in China and from around the world with significant deals in China and has also helped Chinese clients with deals in over 60 countries around the world.
While Ken is PwC’s Mining Industry Leader and leads the Energy/Power and Greentech/Cleantech areas for PwC’s Deals practice, his industry experience also spans a variety of other market sectors including manufacturing, food and agriculture, industrial materials and equipment, biotechnology and pharmaceutical, as well as real estate and financial services.
Ken holds a Bachelor of Commerce from the University of British Columbia (Canada) and he is a fully qualified CA (Canada), CPA (USA), and CFA (International).

Mr. Libin Zhang
Mr. Libin ZHANG graduated from the University of Texas at Austin School of Law in 1997 with a J.D. degree. He is licensed to practice both in the PRC and the State of New York. Having been in practice for over 20 years, Mr. ZHANG has accumulated lots of experience in practice at prestigious U.S. and Chinese law firms as associates and partners. He is currently the head of Legal M&A, Asia & Australia for Siemens, covering acquisitions, mergers, divestments and restructuring in all sectors of Siemens business.
Mr. ZHANG specializes in cross-border M&As, energy law and dispute resolution. He has successfully represented many large Chinese and foreign companies in their domestic and cross-border as well as outbound investment (including representing Chinese companies for acquisition of oil and gas assets in the U.S.). Mr. ZHANG is an arbitrator for both CIETAC and Beijing Arbitration Commission. He successfully represented a U.S. company in Singapore International Arbitration Center in an arbitration proceeding as PRC energy law expert relating a production-sharing contract dispute. He also represented an international oil company in a high-profile dispute negotiating with Chinese regulatory authority in an offshore oil spill case.
In his spare time, Mr. Zhang teaches at law schools in Peking University, Tsinghua University and UIBE Law School. Mr. Zhang is also author of several books and many legal articles.

Mr. Nicolas Labatut
Mr. Labatut has been a finance executive for 11 years. He is now leading the finance team of the Thales Group in Greater China. Covering the country 16 legal entities involved in diversified businesses, Nicolas is particularly experienced in joint-venture setting-up and management.
As a member of the Thales China Executive Committee, Nicolas is a business partner supporting Thales growth. In particular, he has contributed to the setting
up of a transportation integration center in China.
Nicolas’ areas of expertise also include compliance monitoring: as the country compliance officer for the Group, he leads the overall country compliance program aiming at better securing Thales business by helping management to bring enterprise risks under control.
Nicolas is a board member in five Thales companies in China/Hong Kong, and a board supervisor of 4 entities. Prior to his experience in China, Nicolas had a variety of international experience in Singapore, Morocco and Slovakia, where he gained a cross-cultural management expertise. As an international manager, Nicolas was also appointed the Executive Chairman of the Thales Group employee’s shareholding association, aiming at promoting Thales employee’s shares plans in the Group worldwide.
Nicolas is regularly invited as a speaker in various conferences (CIMA Global Business Challenge, Innovation Enterprise FP&A Summit) and trainings (EM Lyon School of Management). He is also an active participant to the Finance Circle in Shanghai and Beijing gathering CFOs of many French large corporations in China.
Nicolas holds a dual Executive MBA from INSEAD, and from Tsinghua University in
Beijing.
He is the author of a thesis on joint-venture valuation in China. He also holds a
Master’s degree in finance and banking from the University Pantheon-Assas in Paris.

Steven Hsu is senior consultant and managing director of Beijing Zhong Yin Law Firm. Before join Zhong Yin in Beijing, Steven was a partner in Baker & McKenzie. In addition to being an attorney, Steven is also responsible for marketing and international operation of the Firm. Steven’s practice mainly focuses on mergers & acquisitions, foreign direct investment, capital and securities markets and general corporate. Steven is an expert in China’s direct selling business and Chinese companies cross border acquisition. Recently, Steven has represented Chinese clients in bidding the Vertu Corporation Ltd. in UK, acquiring vineyards in South Africa and Chile, acquiring an olive oil company in Europe and establishing a joint venture in New York with a bio-tech company. Steven also represent may multinational companies for their expansion and acquisition in China. In Steven’s nearly 20 years’ practice experiences, he has served many multinational enterprises and Fortune 500 companies. Steven is full of local Chinese experiences and international exposure. Steven was also nominated by ALB as one of the hottest 25 lawyers in China 2010.
