With over four decades of foreign-funded enterprises entering China, accompanied by China’s opening-up policy and active promotion of foreign investment, the legal framework applicable to foreign-funded enterprises has been continuously evolving. In order to provide a favorable and equitable business environment for foreign investment, the Foreign Investment Law came into effect in 2020, replacing the three old laws related to foreign investment and marking a new chapter where foreign-funded enterprises are equally subject to the Company Law. To meet the demands of economic development, the Company Law was revised at the end of last year and come into effect on July 1, 2024. This revision proposes numerous new requirements concerning registered capital system, rights and responsibilities of shareholders, directors, supervisors and senior executives which will undoubtedly bring both new opportunities and challenges for foreign-funded enterprises.
外企入华四十余载，伴随着中国对外开放、积极引入外资的进程，适用于外资企业的法律法规也在不断变迁。为了给予外资优良公平的营商环境，《外商投资法》于2020年开始施行，旧三资法相应废止并归入历史，外资企业翻开了平等适用《公司法》的发展新篇章。为了适应经济发展需求，《公司法》于去年底通过修订并已于2024年7月1日起施行。此次修订对注册资本制度、股东及董监高权责提出了诸多新要求，必将为外资企业带来全新的机遇与挑战。

“Capital” and “Person” have always been the two cornerstones for development of enterprises. Through this presentation, we will summarize the legislative evolution in recent years affecting foreign-funded enterprises, focusing on the impact of the new regulatory framework under Company Law from the perspectives of “Capital” and “Person” which are critical to corporate governance and operations. We will discuss topics such as capital contributions of shareholders, capital increase and decrease, equity transfer procedures, appointment of legal representatives, corporate governance structures, shareholders’ rights and responsibilities, rights and responsibilities of directors, supervisors, and senior executives, as well as risks and safeguards related to their roles.

Improvisational Leadership is a leadership training method designed to inspire self and team strength, empowering team members to achieve goals together. Team members are randomly assigned roles in pre-set scenarios in the form of a "scripted murder mystery," where they experience and address various challenges encountered in real work settings. This enhances their individual and team collaboration skills and leadership abilities. Participants will have the opportunity to observe the behavior and reactions of workers in different roles from a first-person or second-person perspective in improvisational scenarios. Through role-swapping, employees can better understand each other's work methods and challenges, thereby increasing mutual understanding and improving overall performance. "Improvisational Leadership" is not just a training program but also an opportunity for deep experience and self-improvement.
